These Terms of Use (“Terms”) govern your access to and use of the website of Velocity EdTech Group LLC (“Velocity EdTech Group,” “VEdTech,” “we,” “our,” or “us”) located at vedtech.org (“Site”). Please read these Terms carefully before using the Site.
1. Acceptance of Terms
By accessing or using this Site, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any of these Terms, you are prohibited from using or accessing the Site.
2. Use of the Site
You may use this Site solely for lawful purposes and in accordance with these Terms. You agree not to: use the Site in any way that violates federal, state, or local law; attempt to gain unauthorized access to any portion of the Site; or use the Site to transmit any harmful code or interfere with its operation.
3. No Client Relationship or Professional Advice
The content on this Site is for general informational purposes only. Nothing on the Site constitutes educational, consulting, or professional advice, nor does it create a client relationship between you and VEdTech. Any reliance on the information on this Site is at your own risk.
4. Intellectual Property Rights
All content, materials, and intellectual property on this Site—including but not limited to text, graphics, logos, icons, images, videos, documents, educational materials, and software—are the property of Velocity EdTech Group LLC or its licensors, and are protected under U.S. and international copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, display, or modify any part of the Site or its contents without prior written consent from VEdTech. You may not use any of VEdTech’s names, trademarks, service marks, or logos without express written authorization. Any unauthorized use or infringement of the Site’s materials or intellectual property may violate copyright, trademark, or other laws and could result in legal action.
5. Links to Third-Party Websites
The Site may contain links to third-party websites for your convenience. We do not control or endorse these sites and are not responsible for their content, privacy policies, or practices. Accessing any third-party websites is at your own risk.
6. Disclaimer of Warranties
The Site is provided on an “as-is” and “as-available” basis. VEdTech makes no warranties, express or implied, regarding the accuracy, reliability, or availability of the Site or its content.
7. Disruption of Services
VEdTech does not guarantee that the Site will be available at all times or without interruption. Access to the Site may be suspended temporarily or permanently, without notice, due to system failures, maintenance, upgrades, or circumstances beyond our control, including but not limited to acts of God, network failures, or technical issues with third-party providers. VEdTech shall not be liable for any loss or damage arising from such interruptions, delays, or failures in service availability.
8. Limitation of Liability
To the maximum extent permitted by law, VEdTech and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site, including but not limited to loss of profits, data, or goodwill. In no event shall VEdTech’s total liability for any claim arising out of or relating to your use of the Site exceed the greater of one hundred dollars ($100) or the total amount you paid to VEdTech for the specific services giving rise to the claim.
9. Indemnification
You agree to indemnify and hold harmless VEdTech, its officers, employees, and agents from any claims, damages, or expenses arising out of your violation of these Terms or misuse of the Site.
10. Modifications to the Terms
We may revise these Terms at any time by posting an updated version on the Site. Your continued use of the Site after any changes constitutes acceptance of the new Terms.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.
12. Dispute Resolution and Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Site shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in the Commonwealth of Pennsylvania, and the proceedings shall be in English. You and VEdTech waive the right to a jury trial and to participate in any class or representative action. Each party shall bear its own legal fees and costs unless otherwise required by law. Either party may bring an individual action in a Pennsylvania small claims court for disputes within that court’s jurisdiction, instead of arbitration. Either party may also seek injunctive or equitable relief in court to prevent actual or threatened misuse of confidential information, intellectual property, or other proprietary rights. The arbitrator’s award shall be final and binding, and judgment may be entered in any court with jurisdiction.
13. Entire Agreement
These Terms constitute the entire agreement between you and VEdTech regarding your use of the Site and supersede any prior agreements or understandings.
